XPORA

Terms of Service

Last updated: 24 October 2026

These Terms of Service (the "Terms") constitute a legally binding agreement between you and TAWVO Digital Services ("XPORA") governing your access to and use of the Platform. Please read them carefully. By pressing "I Agree" when submitting an Application, or by otherwise accessing or using the Platform, you acknowledge that you have read, understood and agree to be bound by these Terms and by the Privacy Policy. If you do not agree, you must not submit an Application or use the Platform.

1. Definitions and Interpretation

1.1 In these Terms, the following words have the meanings set out below:

1.2 Headings are for convenience only and do not affect the interpretation of these Terms. Words in the singular include the plural and vice versa. The words "including" and "include" are to be read without limitation.

2. Acceptance and Scope

2.1 You accept these Terms by pressing "I Agree" on the terms screen before your Application is submitted. Your Application is not submitted unless you do so. XPORA records the date and time of your acceptance and the version of these Terms that you accepted.

2.2 The Privacy Policy and the House Rules form an integral part of these Terms. Any instructions displayed in the Platform in connection with a particular Request also apply to that Request.

2.3 In the event of any conflict between these Terms and any other information displayed in the Platform, including any answer given by the in-app assistant, these Terms prevail.

3. Eligibility, Applications and Accounts

3.1 To use the Platform you must be at least eighteen (18) years of age and have full legal capacity. A person submitting an Application on behalf of a Business represents and warrants that they are authorised to bind that Business to these Terms.

3.2 Every Application is reviewed by XPORA. XPORA may, at its sole discretion and without being obliged to give reasons, approve an Application, reject it, or place it on hold. XPORA may contact an applicant by e-mail or telephone regarding their Application, including when an Application placed on hold is reconsidered.

3.3 Following approval, the User creates an Account by choosing a username and password and completing the required profile. An Influencer must provide a profile picture. A Business must provide at least one (1) and up to four (4) photographs, a description of the Business, and at least one (1) Branch, each comprising its city, its area and a map link.

3.4 You represent and warrant that all information you provide is true, accurate, complete and your own, and you undertake to keep it up to date. An Influencer must hold both an Instagram account, which must be a professional (business or creator) account, and a TikTok account, must own and control both, and must connect both to the Platform as Connected Accounts when submitting their Application. By connecting them, the Influencer authorises XPORA to receive from Instagram and TikTok the information described in the Privacy Policy. XPORA never receives the password of a Connected Account.

3.5 Each person or Business may hold only one (1) Account. An Account is personal to its holder and may not be sold, transferred or shared. An Instagram or TikTok account may be a Connected Account of only one (1) Influencer.

3.6 You are responsible for keeping your username and password confidential and for all activity carried out through your Account. You must notify XPORA without delay through Settings → Contact Support of any unauthorised use of your Account.

3.7 Certain Account information is set by XPORA and cannot be changed by the User, namely: for an Influencer, their Connected Accounts, their gender and their login e-mail address; and for a Business, its public business name, its category and its type. Any change to such information must be requested through Settings → Contact Support. A change of username on the same Instagram or TikTok account is reflected in the Platform automatically. Replacing a Connected Account with a different account requires XPORA's prior permission, which XPORA may refuse, including while the Influencer has an active Booking.

3.8 XPORA and its authorised personnel may access, verify, correct and administer any Account and the information in it for the purpose of operating the Platform and enforcing these Terms.

4. The Platform and the Role of XPORA

4.1 The Platform is a marketplace that connects Businesses wishing to obtain advertising with Influencers who create it. Through the Platform, XPORA reviews and publishes Requests, enables Influencers to book Branches, verifies Content and settles the amounts due.

4.2 Each Influencer acts as an independent party. Nothing in these Terms creates any employment, agency, partnership or joint-venture relationship between an Influencer and XPORA or between an Influencer and any Business. Each User is responsible for any taxes and obligations applicable to amounts it receives through the Platform.

4.3 XPORA is not a party to, and is not responsible for, the products or services provided by a Business at its Branches. Each Business is solely responsible for its premises, products, services, staff, hygiene, health and safety, and for holding all licences required for its activity.

4.4 XPORA does not guarantee that any Request will be booked or completed, that any Content will achieve any number of views or any level of engagement, or that any User will act in any particular way.

4.5 The in-app assistant provides automated general information only. Its answers do not constitute advice, do not bind XPORA and do not amend these Terms.

5. Requests (Businesses)

5.1 A Business may order a Package or place a Custom Request. For a Custom Request, the Business selects the Influencer Tier, the gender of the Influencers, their number, the type of Content and the time limit. A Request for a post or a reel is performed on both Instagram and TikTok; a Request for a story is performed on Instagram only. When placing a Request, the Business describes what it requires from the Influencers and selects the Branches to which the Request applies.

5.2 XPORA determines which Packages and options are available to a Business and may make any Package or option unavailable, or withdraw it, at any time.

5.3 The price of a Request is the price displayed in the Platform at the time the Request is placed, and includes XPORA's fee. Value added tax at the rate in force, currently fourteen per cent (14%), is added to the price. The price, the value added tax and the total are displayed to the Business before the Request is placed, and the total, including the value added tax, is the amount payable by the Business for the Request.

5.4 The Business shall pay the full total, including the value added tax, by bank transfer to the account displayed in the Platform before confirming the Request. A Request whose total is zero requires no payment, and no payment page is displayed for it. XPORA is not obliged to publish a Request until it has confirmed receipt of the full total.

5.5 A Request remains "Pending" until it is published. Before publication XPORA may review the Request and, at its discretion: edit the description of what is required from the Influencers; approve all or only some of the Branches selected by the Business; set the Amount to Earn and the value of the Free Service; adjust the number of Influencers, the time limit, whether Influencers attend at the same time, and the spacing between arrivals at a Branch; or reject the Request. No such adjustment increases the total payable by the Business. If a Request is rejected, XPORA will contact the Business regarding any amount paid.

5.6 Once published, a Request is "In Process" and becomes available to the Influencers to whom it applies. Its time limit runs from publication and ends at midnight, Cairo time, at the end of its last day. A Request that has been fully booked remains in process until its time limit ends. When its time limit ends, the Request closes as "Fulfilled" if every place (each position for an Influencer that the Request calls for) has been completed, and as "Incomplete" otherwise.

5.7 The Business shall, in respect of every Request:

5.8 A Business must keep at least one (1) Branch on its Account at all times and must keep its Branch details accurate. A Branch cannot be removed while an active Booking or a published Request that has not ended relates to it, and the city or map link of a Branch cannot be changed while an active Booking relates to it.

6. Bookings and Content (Influencers)

6.1 The Requests shown to an Influencer depend on the Influencer's Tier and gender and on the city the Influencer selects as their current location. XPORA assigns each Influencer's Tier at its discretion, having regard to the average of the Influencer's followers on Instagram and TikTok, and may review and change it at any time.

6.2 An Influencer books a Request by selecting a Branch, a date within the Request's time limit and an available time between 9:00 a.m. and 11:00 p.m., Cairo time. An Influencer cannot make a Booking until XPORA has issued them an XPORA Card. An Influencer may make only one (1) Booking for any Request, including where that Booking has been cancelled. A Booking is a firm commitment to attend.

6.3 An Influencer may cancel a Booking through the Platform. Cancellation is final and the Influencer cannot book the same Request again. Repeated cancellations or failures to attend may result in the suspension or termination of the Influencer's Account.

6.4 In performing a Request, the Influencer shall:

6.5 Once the Content is published, the Influencer selects it in the Platform from the content listed from their Connected Accounts and confirms that it has been published. Influencers do not type or submit links to their Content, and a piece of Content may be selected for one (1) Booking only. XPORA may approve or decline the confirmation. If it is declined, the Booking returns to active status and the Influencer may correct the Content, select it and confirm again.

6.6 Upon approval, the Amount to Earn stated on the Request is credited to the Influencer's Wallet, and XPORA loads the value of the Free Service stated on the Request onto the Influencer's XPORA Card, with which the Influencer pays for the Free Service at the Branch in accordance with clause 7.7. After approval, XPORA continues to record the performance of the Content from the Connected Accounts and to report it to the Business.

7. Wallet, Withdrawals and the XPORA Card

7.1 The Wallet is denominated in Egyptian Pounds. It is not a bank account, bears no interest, cannot be transferred to another User and cannot be used to make purchases. The Wallet balance cannot be negative.

7.2 An Influencer may withdraw any whole amount from 1,000 Egyptian Pounds up to the available Wallet balance, by Instapay, to a mobile wallet or by bank transfer. The Influencer must provide the details of the receiving account each time a withdrawal is requested. Those details are not saved for future withdrawals.

7.3 The requested amount is deducted from the Wallet when the withdrawal is requested. If the withdrawal is rejected, the amount is restored to the Wallet.

7.4 Withdrawals by Instapay or to a mobile wallet are made within twelve (12) hours of the request, and withdrawals by bank transfer within seventy-two (72) hours of the request. The amount transferred is the same whichever method is chosen, and XPORA deducts no fee from any withdrawal.

7.5 The Influencer is solely responsible for the accuracy of the receiving account details provided. XPORA shall not be liable for any amount transferred in accordance with the details provided by the Influencer.

7.6 XPORA may correct any amount credited to a Wallet in error.

7.7 The XPORA Card remains the property of XPORA. Any funds on it belong to XPORA and are provided solely for paying for the Free Service, up to the value stated on the Request, at the Business to which the Booking relates. The XPORA Card may not be used for any other purpose, its funds may not be withdrawn or redeemed for cash, and any balance not used for that purpose does not belong to the Influencer. XPORA may suspend or recover an XPORA Card at any time.

8. Refunds

8.1 Refunds are not processed through the Platform. Where a Request is rejected before publication, or closes as Incomplete, XPORA will contact the Business directly. Save as required by applicable law, any refund is at XPORA's discretion.

9. Intellectual Property and Licences

9.1 The Platform, including its software, design, text, graphics and trade marks, is owned by XPORA or its licensors. XPORA grants you a limited, personal, non-exclusive, non-transferable and revocable licence to use the Platform in accordance with these Terms.

9.2 You retain ownership of the photographs, descriptions and other materials you provide to the Platform. You grant XPORA a non-exclusive, royalty-free licence to host, store, reproduce and display them for the purpose of operating the Platform.

9.3 The Influencer retains ownership of the Content. The Influencer grants XPORA and the Business to which the Request relates a non-exclusive, worldwide, royalty-free and perpetual licence to share, repost and display the Content in their own marketing channels.

9.4 You represent and warrant that you hold all rights and consents necessary to grant the licences in this clause 9, including the consent of any person who appears in the Content.

10. Prohibited Conduct

10.1 You shall not:

11. Account Deletion, Suspension and Termination

11.1 You may delete your Account at any time from Settings. When an Influencer deletes their Account, any active Booking is cancelled, and the Business notified, as if the Influencer had cancelled it, and any pending withdrawal is cancelled and its amount returned to the Wallet balance; the Wallet balance at the time of deletion is kept in XPORA's records in accordance with clause 11.3. A Business may not delete its Account while it has a Request that is pending or in process; such a Request must first be completed or closed with XPORA. A User who cannot access the Platform may also request deletion by e-mail to support@xporanetwork.com, as described on XPORA's Account Deletion page, and the same terms apply.

11.2 XPORA may suspend or terminate your Account, with immediate effect and without prior notice, if you breach these Terms, if any information you provided is found to be false, if required by law, or if XPORA reasonably considers it necessary to protect the Platform, its Users or third parties. Suspension takes effect immediately.

11.3 Upon deletion or termination, your right to use the Platform ceases and the information in your Account is deleted, save that XPORA retains, to the extent required to comply with the laws of the Arab Republic of Egypt: (a) in the case of a Business, the name and contact information of the Business and of the person who represented it, including the addresses of its Branches, for the purpose of addressing any complaint, together with the records of its transactions; and (b) in the case of an Influencer, the records of the amounts credited and paid to the Influencer, including the details of each withdrawal and the Wallet balance at the time of deletion, together with the identifying and contact information associated with them. Such retention is described in the Privacy Policy.

11.4 Clauses 7.5, 7.7, 8, 9, 11.3, 12, 13, 14, 15, 18, 19 and 20 survive the deletion or termination of an Account.

11.5 If XPORA terminates your Account, XPORA will settle any balance in your Wallet that is due to you for Content already approved, in accordance with clause 7, except for amounts connected to the breach, fraud or false information that led to the termination, to the extent permitted by law.

12. Third-Party Platforms

12.1 Content is published on Instagram and TikTok, which are operated by third parties under their own terms, and Connected Accounts are connected through the sign-in services of those third parties. Map links open third-party mapping services. XPORA is not responsible for the availability, operation or policies of any third-party service.

13. Indemnity

13.1 You shall indemnify and hold harmless XPORA and its personnel against any claim, loss, liability, cost or expense (including reasonable legal fees) arising out of your breach of these Terms, your Content or materials, or, in the case of a Business, its products, services or premises.

14. Disclaimer

14.1 To the maximum extent permitted by law, the Platform is provided "as is" and "as available", without any warranty that it will be uninterrupted, error-free or fit for any particular purpose.

15. Limitation of Liability

15.1 XPORA shall not be liable for any indirect or consequential loss, or for any loss of profit, revenue, business, goodwill or reputation, arising out of or in connection with the Platform or these Terms.

15.2 XPORA's total liability arising out of or in connection with any Request shall not exceed the amount paid by the Business for that Request or, in the case of an Influencer, the Amount to Earn stated on that Request.

15.3 Nothing in these Terms excludes or limits any liability arising from fraud or gross negligence, or any other liability that cannot be excluded or limited under the laws of the Arab Republic of Egypt.

16. Force Majeure

16.1 XPORA shall not be liable for any failure or delay in performing its obligations caused by events beyond its reasonable control, including failures of networks, banks, payment systems or third-party platforms, acts of authorities, natural disasters or epidemics.

17. Amendments

17.1 XPORA may amend these Terms at any time. The amended Terms take effect from the date shown at the top of this page. XPORA will notify Users of material amendments through the Platform or by e-mail. Your continued use of the Platform after an amendment takes effect constitutes your acceptance of the amended Terms. If you do not accept them, you must stop using the Platform and may delete your Account in accordance with clause 11.1. Where an amendment changes the purposes for which, or the way in which, your Personal Data is processed, XPORA will ask for your explicit consent before the change applies to you.

18. Communications and Notices

18.1 You agree to receive communications from XPORA electronically, including notifications in the Platform, notifications sent to your device and e-mails. Notifications sent to your device may be switched off in Settings. E-mails relating to your Application, your Account and your Requests or Bookings are an integral part of the service and cannot be switched off.

18.2 Notices to XPORA must be sent through Settings → Contact Support, by e-mail to support@xporanetwork.com, or by post to TAWVO Digital Services, Building No. 1, Chillout Lotus Maxim, Third Floor, Fifth Settlement, New Cairo, Egypt. Notices to you may be sent to the e-mail address or telephone number on your Account or displayed in the Platform.

19. General Provisions

19.1 These Terms, together with the Privacy Policy and the House Rules, constitute the entire agreement between you and XPORA regarding the Platform.

19.2 If any provision of these Terms is held to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

19.3 No failure or delay by XPORA in exercising any right shall operate as a waiver of that right.

19.4 You may not assign or transfer any of your rights or obligations under these Terms. XPORA may assign or transfer its rights and obligations under these Terms.

19.5 Your acceptance of these Terms by electronic means constitutes a valid and binding agreement.

19.6 These Terms are made in Arabic and English. If there is any discrepancy between the two texts, the Arabic text prevails.

20. Governing Law and Jurisdiction

20.1 These Terms are governed by and construed in accordance with the laws of the Arab Republic of Egypt.

20.2 The parties shall first seek to resolve any dispute amicably through Settings → Contact Support. Any dispute not resolved within thirty (30) days shall be subject to the exclusive jurisdiction of the competent courts of Cairo, without prejudice to any mandatory right you may have under the laws of the Arab Republic of Egypt.
